What is the Phoenix Financial app?

Phoenix Financial is a mobile app for accredited investors that provides research on pre-IPO companies, daily market intelligence, and tracking for a Phoenix Financial account. It is available on iOS and Android.

How much does it cost?

The app is free to download from the App Store and Google Play. There is no charge to browse company research.

Who can open an account?

Accounts are available to accredited investors, and Phoenix sets a higher bar than the law requires: it typically works with investors whose net worth exceeds $2.2 million, excluding a primary residence. Accreditation is verified once during signup, as SEC rules require for private-company investments.

I already use the Investor Portal. What is the app?

The Phoenix Investor Portal is not going anywhere — it remains the full desktop workspace for expert insights, real-time analysis, and curated opportunities. The app puts the parts you reach for daily in your pocket: company research, overnight intelligence, and your positions. Same firm, same account, same clearing.

Which devices are supported?

The app requires iOS 16.0 or later on iPhone, or Android 13.0 or later.

Which companies does Phoenix cover?

Phoenix clients hold positions in more than 60 private companies, including Anthropic, Figure AI, OpenAI, Anduril, Apptronik and Stripe, plus SpaceX, which listed on Nasdaq in June 2026. Coverage reflects existing client holdings and is not an offer to sell or a recommendation.

Who clears and custodies accounts?

Accounts are cleared through Axos Clearing LLC, CRD 117176 — a separate, unaffiliated firm, member FINRA and SIPC, which holds your securities and cash. Phoenix Financial's firm CRD number is 144403.

About pre-IPO investing

How do I buy shares in a pre-IPO company?

Pre-IPO shares change hands on the secondary market, where existing shareholders — usually employees or early investors — sell to accredited buyers through a broker-dealer. Phoenix Financial has processed more than $1 billion in such transactions. Availability depends on what current holders are willing to sell, so no company is continuously available.

Can I buy OpenAI or Anthropic shares as an accredited investor?

Both companies are private, so their shares are not listed on any exchange and cannot be bought through an ordinary brokerage account. Access is through secondary-market transactions arranged by a broker-dealer, and depends on whether an existing shareholder is selling. Phoenix clients hold positions in both.

Do I need to be an accredited investor to buy pre-IPO stock?

Yes — and Phoenix sets a higher bar than the law. The SEC floor is $1 million in net worth excluding your primary residence, $200,000 in annual income ($300,000 jointly), or a Series 7, 65 or 82 licence. Phoenix applies the same tests but typically works with investors above $2.2 million in net worth.

What is the minimum investment for pre-IPO shares?

Minimums are set by the seller and the structure of each transaction rather than by a fixed platform figure, so they vary. Downloading the app and reading company research is free and carries no minimum at all. For what is currently available, speak to the Phoenix desk.

How risky are pre-IPO investments?

Materially risky. Private shares are illiquid and may be impossible to sell before an IPO or acquisition; there is no public price, no guaranteed exit, and no assurance any company will ever go public. The entire investment can be lost. Read the private-markets risk disclosure before investing.

What happens to pre-IPO shares when the company goes public?

They typically convert to public stock at the IPO, usually subject to a lock-up period during which they cannot be sold — commonly around 180 days. Terms vary by transaction and company. Not every private company reaches an IPO; many are acquired instead, and some are neither.

How does a secondary-market pre-IPO transaction actually work?

An existing shareholder agrees to sell, a broker-dealer arranges the transfer and the documentation, and the company itself often holds a right of first refusal that has to clear first. Settlement can take weeks rather than days. Phoenix has processed more than $1 billion in these transactions.
